1. Parties and Service

GrimDex is desktop utility software developed and distributed by CQTecnologia ("we", "us", "our"). By purchasing or running the software, you agree to these Terms.

2. Licensing and Evaluation

GrimDex is sold as a digital download. We provide a fully functional evaluation period of 14 days. Following the 14-day evaluation, continued use of GrimDex requires a paid license key. Unregistered evaluation copies remain fully functional but will display recurring startup notices reminding you to register.

3. License Tiers & Ownership

• Personal License ($39 founding price): Authorizes one named person to install and use GrimDex on the physical or virtual computers they personally control and operate. Includes 1 year of feature updates. An expired Personal update window only limits access to later feature versions: every app version already covered by the license remains usable permanently. You may renew your update entitlement separately at any time.
• Lifetime Updates License ($100 founding price): Authorizes one named person to install and use GrimDex on the physical or virtual computers they personally control and operate. Includes permanent entitlement to all future feature updates and major versions released during the product's supported lifetime.

License keys are private to the named user; they may not be shared with another person, rented, published, or resold. Team or organization licensing, when offered, is governed by a separate written order.

4. Acceptable Use

You agree not to bypass, hack, or reverse-engineer the offline license validation system or distribute forged license keys. Any leaked or publicly distributed license keys will be blacklisted in future software updates.

5. Warranty and Limitation of Liability

GrimDex is provided "as is", without warranty of any kind. While we design our NTFS indexing helper and file utilities to be safe and performant, you accept all risks regarding the operation, compatibility, and speed of the app on your hardware. To the maximum extent permitted by law, our total liability for any claims or damages is capped at the exact amount you paid for your license.

6. Governing Law

These terms are governed by the laws of Brazil, without regard to conflict of laws principles. Consumer rights mandated by local jurisdiction are preserved.
